Terms of Service
- Proofwell helps you prepare for cyber insurance. Your insurer decides on cover and price, and we can't guarantee the outcome.
- Only connect a Microsoft 365 tenant you're authorised to connect.
- Self-serve scan: full refund if we don't approve your account, or if the scan can't run on your tenant and we can't fix it.
- Prices are in Canadian dollars.
These terms are an agreement between you and Proofwell, a business based in Vancouver, British Columbia. They cover our website, the portal at portal.proofwell.ca, and the assessments we provide. By buying a service or using the portal, you agree to them on behalf of yourself and the organisation you represent. You confirm you have authority to bind that organisation.
1. What we provide
- Self-serve scan: access to the portal for the period shown when you buy (currently 30 days). During that time you can connect your Microsoft 365 tenant, enter evidence, run scans and download your report, draft questionnaire answers and evidence pack.
- Readiness check and readiness assessment: scans and reviews carried out with you, including the calls and deliverables described on our website or in your quote.
- Services for IT providers (MSPs): as agreed in writing with each partner.
2. Not insurance, legal or professional advice
Proofwell is a readiness and evidence tool. We are not an insurer, insurance broker or agent, law firm or auditor. Reports and draft answers are based on the settings we could read at the time of the scan and on the evidence you supplied. You are responsible for reviewing every answer before you submit it to an insurer. Insurers set their own requirements, and a good result in Proofwell does not guarantee a quote, a policy, a premium or the outcome of a claim.
3. Your responsibilities
- Connect only tenants you own or are authorised to assess. An IT provider must have its client's permission.
- Give accurate evidence answers. Misstatements on an insurance application can affect your cover, and that responsibility is yours.
- Keep your sign-in secure and don't share portal access outside your organisation.
- Don't attempt to break, overload or reverse-engineer the service, or use it to scan anyone without permission.
4. Access and approval
New sign-ups are reviewed before access is turned on. We may decline a sign-up, for example if we can't verify the organisation, and refund any payment in full. We may suspend access that breaches these terms. Access ends when your paid period ends; you can renew to run new scans.
5. Prices and payment
Prices are in Canadian dollars and shown on our website or in your quote. We are not currently registered for GST/HST; if that changes, applicable taxes will be added and shown before you pay. Card payments are processed by Stripe. Assessments are invoiced as agreed in your quote.
6. Refund policy
Self-serve scan ($99 CAD)
- Full refund if we decline your sign-up.
- Full refund if the scan can't run on your tenant because of a problem on our side, and we can't fix it within 5 business days of you telling us.
- Full refund if you ask within 7 days of paying and haven't yet completed a scan.
- Once a scan has completed and a report has been produced, the purchase isn't refundable, because the work has been delivered. If something in the report is wrong, tell us and we'll fix it.
Readiness check and readiness assessment
- Cancel before work starts (before we scan or review anything): full refund.
- Cancel after work has started: we refund the share of the price for work not yet done.
- You can move a booked call once at no charge, with at least one business day's notice.
To ask for a refund, email [email protected] from the address you used to buy. Approved refunds go back to the original payment method, usually within 5 to 10 business days. Nothing in this policy limits rights you have under consumer protection law.
7. Your data
You own your data and your reports. We use them only to provide the service, as described in our Privacy Policy. You can remove the scanner's access at any time from your Microsoft Entra admin center.
8. Our service
We work to keep the portal available and accurate, but it is provided "as is". Microsoft may change what its systems report, and some checks depend on licences your tenant may not have. We may update the checks and features over time to keep pace with insurer questions.
9. Limitation of liability
To the extent the law allows, Proofwell is not liable for indirect or consequential losses, including insurance decisions, premiums, denied claims, lost profits or data loss. Our total liability for any claim is limited to the amount you paid us for the service in the 12 months before the claim.
10. General
- These terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. Disputes will be heard in the courts of British Columbia.
- If we change these terms, we'll update the date above. Changes apply to purchases made after that date.
